Romania: Changes to taxation of shares transfers, e-VAT system, excise duties, e-invoicing
Government Emergency Ordinary Nos. 13/2026, 9/2026
The government gazetted Government Emergency Ordinance (GEO) No. 13/2026, providing new conditions for tax recognition of limited liability company (LLC) share transfers and changes to compliance rules under the electronic value added tax (VAT) system. The ordinance also:
- Amends the excisable products trading framework to suspend certain rules until March 31, 2026, and introduce revised fiscal risk criteria, authorization and guarantee requirements, and transitional application deadlines from March 31, 2026, requiring economic operators carrying out in‑scope excise activities as of March 31, 2026, to apply for authorization or registration between March 31 and April 30, 2026, or lose the right to operate from May 1, 2026
- Suspends, until December 31, 2026, the tax authority’s obligation to communicate taxpayers’ tax risk class or subclass
The government also gazetted Government Emergency Ordinance (GEO) No. 9/2026, postponing certain excise duty provisions and introducing amendments to local taxes. The ordinance also:
- Delays until March 31, 2026, the application of rules on trading specific excisable products and the related re‑authorization and registration obligations introduced under GEO No. 89/2025
- Allows local councils to reduce 2026 local tax rates and introduces property and transport tax reductions for older residential buildings and persons with severe or profound disabilities
Finally, the tax authority published for public consultation a draft order amending Order No. 3789/2024 to update the procedure for registration in the mandatory RO e‑Invoice Register and the rules for completing Form F082. The proposal would align registration and de‑registration rules with recent amendments to GEO No. 120/2021 for individuals identified for tax purposes solely through a personal identification number (PIN), who are required to issue electronic invoices only from June 1, 2026. The RO e‑Invoice Register would be updated to include taxpayers’ registration history.
