• Providing buy-side assistance to Acquirers in the acquisition accounting and preparation of financial statements in accordance with US GAAP for recently acquired Target companies. This includes a focus on accounting for revenue recognition and the preparation of relevant documentation to facilitate audits by other Big 4 accounting firms.
• Providing sell-side assistance with the preparation of curve-out financial statement, finance work-stream separation support and other reporting maters for divestitures, such as spin-offs, and IPOs, including Up-C and SPAC structures.
• Identifying and implementing the changes required for companies converting from US GAAP to IFRS.
• Providing IPO assistance related to a company’s S-1 filing.
• Providing Pro-Forma assistance related to a company’s S-4 filing.
• Specializing in various other technical accounting issues related to share-based payment awards, consolidation, business combinations, earning per-share, and segment reporting.
• Assisting clients structuring future business plans and future transactions to avoid volatility in their financial statements while achieving their business targets.
