Chad has led nearly 500 M&A transactions for leading corporations and private equity firms including significant software and internet experience, as well as deals in the semiconductor, hardware, IT services and communications equipment sectors. Extensive international experience leading 100+ cross-border deals between the US and Europe, Canada, Asia and Central/South America.
Buy-side focus includes pre-acquisition due diligence, evaluating commercial, financial, operational, accounting and tax aspects of transactions; assisting with transaction documents, purchase price adjustments, merger integration/transition, and post-acquisition accounting and reporting. Sell-side experience includes helping companies prepare businesses, divisions or product groups for sale by helping define the business to be sold and developing information bidders need, while considering SEC requirements, post-transaction shared service arrangements, and other key features of the deal.
Accomplished helping clients consider the financial and commercial impacts associated with accounting conversions, including helping a leading European bank conglomerate with its conversion to U.S. GAAP. Also provided due diligence and private equity fund monitoring assistance to the alternative investment division of one of the world’s largest pension funds.
