Ryan is a senior manager in the KPMG M&A Tax practice with over 8 years of experience advising private equity and corporate clients on the tax aspects of mergers, acquisitions, and divestitures.
Ryan’s areas of focus include developing, modeling, and implementing tax-efficient legal entity structures, performing buy-side and sell-side tax due diligences, transaction agreement review, post-acquisition integration, and compliance. Tax due diligence experience includes U.S. federal and state income taxes, state and local gross receipts taxes, state and local sales and use taxes, payroll taxes, excise, and severance tax. Additionally, Ryan advises on cross-border acquisition structuring, consolidated return group tax planning (i.e., earnings and profits and stock basis analyses), net operating loss preservation under Section 382, troubled company tax advisory (i.e., debt modifications, cancellation of debt income and attribute reduction analyses), and tax accounting for acquisitions, carve-outs, and divestitures.
Previously, Ryan was a part of the KPMG BTS practice providing clients income tax compliance and consulting services, including tax return preparation and provision for income tax preparation and review.
Ryan also spent time as a part of the KPMG Audit practice, providing clients with financial statement audit, audit of internal controls, and information technology services.
