Sean Austin
Principal, Passthroughs, Washington National Tax
Sean Austin advises a range of clients from multinationals to private equity and other investment funds on a broad range of partnership matters. He also regularly advises the KPMG Mergers & Acquisitions Tax group on complex partnership transactions in a broad cross-section of industries.
Prior to joining KPMG, Sean was an associate at a leading law firm where he advised some of the largest private equity sponsors on a wide range of tax issues with respect to domestic and international funds and investments, as well as planning, structuring and implementing several of the sponsors’ public offerings. In addition, Sean worked on numerous complex mergers, acquisitions, dispositions, restructurings, joint ventures, and financings, including a number of traditional “up-C” public offerings.
Sean has a BS degree in biology from Massachusetts Institute of Technology and a JD degree, magna cum laude, from New York University School of Law.

The Passthroughs group is responsible for providing insight to KPMG professionals and clients regarding the federal taxation of partnerships, real estate investment trusts, and S corporations across all major industries. In addition, the Passthroughs group advises in specialty areas such as like-kind exchanges, oil and gas, leasing, and excise taxes. Client services include transaction structuring, the issuance of opinions, and requesting private letter rulings.
