Stock repurchase excise tax proposed regulations—initial analysis

­In April of this year, KPMG compiled an initial analysis of the proposed regulations related to the 1% federal excise tax on stock repurchases included in the Inflation Reduction Act, which was enacted two years ago. The proposed rule generally follows the approach of the Notice 2023-2 with some notable changes and additions. It also discusses the application of additional taxes to the U.S. subsidiaries of publicly traded foreign parent companies.
