Cindy practices U.S. tax law with a focus on navigating tax implications of mergers and acquisitions, reorganizations, divestitures, leveraged buyouts, joint ventures, and financing transactions. With extensive experience in stock and asset acquisitions, including tax-free reorganizations, as well as both buy-side and sell-side transactions, she dedicates a significant portion of her practice to U.S.-Canada cross-border strategic acquisitions and private equity buyouts. She advises investors and funds on tax-efficient structures for investments by U.S. persons outside the U.S. as well as investments in the U.S. by non-U.S. persons. Additionally, Cindy guides clients through various tax matters concerning partnerships, FIRPTA, treaty benefits, consolidated groups, net operating losses, controlled foreign corporations, passive foreign investment companies, and corporate inversions.

Licensed to practice law in Ontario, New York, New Jersey, and Missouri, Cindy works closely with numerous Canadian and U.S. clients, including private equity firms, pension funds, and corporations across various industries. She conducts tax due diligence, assists with tax modeling, and develops tax-efficient structures that align with requirements of multiple jurisdictions while also accommodating business considerations. Cindy provides sophisticated, yet practical guidance on complex tax issues and builds enduring relationships with clients by offering ongoing advice and post-closing support.
