      Designing and mobilising a regulated Irish entity to support long-term compliance, operational resilience and future expansion.

      The client’s existing EEA payments model relied on regulatory exemptions that were expected to come under increasing regulatory scrutiny. As regulatory expectations evolved, the client needed to reassess its operating model and establish a sustainable framework to support ongoing digital payments activity across the EEA.

      To support future growth and compliance with payments regulations, the client sought to establish a regulated Irish entity and obtain the necessary regulatory authorisation. This required the design of a new target operating model, supporting governance structures and regulatory documentation across multiple business functions.

      KPMG supported the assessment and design of the regulated business model, target operating model and regulatory licencing strategy.       Complex global finance integration 

      Navigating complex global finance integration following a major acquisition

      Supporting a global technology organisation in assessing and managing finance, controllership, audit and statutory compliance considerations across multiple jurisdictions.

      The client was undertaking a major, large scale acquisition and needed to assess and manage the accounting, statutory compliance, audit, and controllership implications of integrating a global portfolio of legal entities across multiple jurisdictions.

      KPMG was engaged pre-close to assess the international finance, compliance, and controllership impacts of the transaction and later supported the post-close integration programme. Embedded within the International Controllership team, we evaluated key integration activities across legal entity governance, intercompany structures, employee onboarding, supplier-to-pay processes, and purchase price allocation.

      We developed detailed entity assessments and served as a central coordination point between the integration programme and regional controllers, ensuring timely visibility of risks, obligations, and critical decisions. We also authored a Megadeal Integration Playbook, outlining the key finance, controllership, and compliance requirements for future acquisitions.

      Demonstrate Digital Services Act compliance

      Enabling a leading online platform to demonstrate DSA compliance with confidence

      Acting as independent auditor for a Very Large Online Platform (VLOP) under the Digital Services Act (DSA) for three years, and providing assurance over all applicable DSA obligations, regulatory reporting and the Code of Conduct on Disinformation (CoCD).

      As a VLOP, this client must obtain independent assurance over compliance with applicable DSA obligations, including the statutory audit requirement in Article 37.

      The scope spans complex, cross-functional requirements, including protection of minors (Article 28), systemic risk assessment and mitigation (Articles 34 and 35), and regulatory reporting.

      A second major workstream covers the VLOP’s commitments under the Code of Conduct on Disinformation.

      For three consecutive years, KPMG has provided independent DSA assurance across all applicable articles and reporting requirements.

      Our work combines extensive stakeholder interviews and process walk-throughs with review of key controls, substantive testing and data analysis.
