      On 24 July 2026, the Stock Exchange of Hong Kong Limited (the “Exchange”) published the consultation conclusions (the “Conclusions”) on proposals to enhance the competitiveness of Hong Kong’s listing framework. The Exchange adopted all proposals outlined in the consultation paper (please refer to our Hong Kong Capital Markets Update Issue 2026-01 for a summary), with some modifications and clarifications.

      The key amendments are summarised as below:

      Optimising the weighted voting rights (WVR) listing requirements

      1. Financial eligibility

      2. Voting power & economic interest

      3. Innovative Company Requirements

      Enhancing the pathway for overseas issuers to list in Hong Kong

      4. Qualification for secondary listings

      5. Conversion to primary listing

      Other recommendations

      6. Ownership continuity and control

      7. Financial reporting standards

      8. Commercialised Biotech & Specialist Tech companies

      9. Non-public filing

      10. Enhance return mechanism



      The Listing Rule amendments came into effect immediately upon the publication of the Conclusions. The Exchange has published updated guidance to accompany the proposals adopted.

      This reform forms the first phase of the Exchange’s competitiveness review, and the Exchange will consult on other areas of potential reform as the next phase of their competitiveness review in consultation papers to be published in due course.
