Vodacom now seeks to appoint a dynamic and visionary leader to join its Board as an Independent Non-Executive Director, contributing to the company’s strategic direction, governance, and long-term growth agenda.
Key roles and responsibilities:
- Review and approve management’s strategic and organizational plans, maintaining a thorough understanding of the company and constructively challenging the underlying assumptions.
- Review and approve Vodacom’s financial objectives, plans, and major expenditure proposals.
- Facilitate the establishment of appropriate corporate governance structures, including the creation of board committees, policies, and procedures that enable the Board to discharge its responsibilities effectively.
- Review and approve Vodacom’s annual budget as proposed by the management team.
- Oversee the identification, understanding, and effective management of the company’s key strategic risks, and continuously monitor their status through appropriate risk management and internal control processes.
- Ensure that robust and effective risk management and internal control systems are implemented across the company.
- Monitor corporate performance against strategic and operational plans, regularly reviewing results to assess management’s effectiveness.
- Review and approve material transactions outside the ordinary course of Vodacom’s business activities.
- Oversee the development and implementation of an effective corporate communication strategy and supporting processes.
- Report annually to shareholders in accordance with the Company’s Memorandum and Articles of Association and seek shareholder approval on matters requiring their decision at general meetings.
- Promote ethical conduct and adherence to applicable laws, regulations, auditing and accounting principles, and the company’s governing documents.
- Assess the effectiveness of the Board in fulfilling its responsibilities and obligations.
- Oversee the appointment, performance, compensation, succession, and potential replacement of the Managing Director.
- Provide effective leadership in collaboration with the management team.
- Perform any additional duties as prescribed by regulatory acts governing the company’s functions, including compliance with the requirements of the Tanzania Communications Regulatory Authority (TCRA), the Capital Markets and Securities Authority (CMSA), and the Bank of Tanzania (BoT).
- Champion innovation, digital transformation, and emerging technologies that enhance Vodacom’s competitiveness and customer experience.
- Support effective stakeholder engagement and strengthen Vodacom’s reputation with key partners, regulators, and the wider public.
Academic / Professional Qualifications and Experience:
- Bachelor’s degree in finance, actuarial science, economics, law, ICT, fintech, or a related field. A postgraduate qualification in a business-related discipline is a critical requirement.
- Minimum of 10 years of senior leadership or board-level experience, preferably within the telecommunications industry.
- Over 7 years’ experience serving as a board member in a medium-to-large organization; prior experience on a listed company board is an added advantage.
- At least 5 years’ experience as an Audit Committee member, with a strong understanding of financial management, regulatory compliance, board governance, risk management, compliance frameworks, and commercial and investment strategy.
- Qualifications or certifications in ESG, CSR, or sustainability are highly desirable.
- Familiarity with international ESG frameworks and integrated reporting standards.
- Demonstrated expertise in ESG and CSR strategy, sustainability reporting, stakeholder engagement, and ethical governance.
- Knowledge of the telecommunications industry or experience in corporate finance would be an added advantage.
- Demonstrated independence of judgment, high ethical standards, and the ability to provide objective and constructive challenge to management.
