On April 2, 2024, the Ontario Superior Court of Justice (Commercial List) (the "Court") issued an order (the "Initial Order") pursuant to the Companies' Creditors Arrangaement Act ("CCAA"). The Initial Order provided for certain relief, including a stay of proceedings against Heritage Cannabis Holdings Corp., 1005477 B.C. Ltd, Heritage Cannabis West Corporation, Mainstrain Market Ltd., Heritage Cannabis East Corporation, Purefarma Solutions Inc., 333 Jarvis Realty Inc., 5450 Realty Inc., Heritage Cannabis Exchange Corp., and Premium 5 Ltd. (collectively, the "Heritage Group") and ordered that KPMG Inc. be appointed as Court-appointed monitor of the Applicants (in such capacity, the "Monitor").

On April 7, 2025, the Monitor served on the service list in the CCAA Proceedings a certificate (the "Monitor's Termination Certificate") certifying among other things that the Monitor has completed its duties in the CCAA Proceedings and as such, the CCAA Proceedings are terminated and KPMG Inc. is discharged from its duties as Monitor of the Applicants. 1005477 B.C. Ltd. ("1005477 B.C."), Mainstrain Market Ltd. ("Mainstrain"), Heritage Cannabis Exchange Corp. ("Heritage Exchange"), 1000921087 Ontario Inc. ("1000921087", and together with 1005477 B.C., Mainstrain and Heritage Exchange, the "Debtors") filed an assignment on the 2nd day of April, 2025 and KPMG Inc. was appointed as Trustee of the Estates of each of the Debtors by the official Receiver. The Trustees appointment was affirmed at the First Meeting of Creditors of the Debtors, which was held via a Microsoft Teams conference on the 17th day of April 2025 at 2:00 PM (Eastern Standard Time).
