The Securities and Futures Commission (SFC) in Hong Kong has conducted regular reviews of corporate announcements since the inside information regime was implemented in 2013. The number of inside information announcements published by listed companies has rapidly increased over the years since then. Listed companies are reminded of the importance of ensuring compliance with the relevant provisions of the Securities and Futures Ordinance and of those under the listing rules relating to the general obligation of disclosure.
This publication examines the elements of a sound inside information framework. It identifies common issues that arise for companies and possible enforcement actions for non-compliance. It also outlines procedures and internal controls for the handling of inside information.
