Ryan Palmer is a Partner in KPMG Canada’s National Mergers & Acquisitions Tax practice based in Toronto. He advises strategic buyers, founder owned and family businesses, private equity sponsors, institutional investors, and multinational groups on the tax aspects of domestic and cross border acquisitions, divestitures, reorganizations, and financings.
Ryan guides clients through the full transaction lifecycle, from structuring and tax due diligence through implementation, post closing integration, and exit planning. His work spans platform acquisitions, bolt-ons, carve outs, recapitalizations, and secondary transactions, with a focus on achieving tax efficient, commercially practical outcomes that align with each client’s value, risk, and timing objectives.
Ryan’s experience covers private and public transactions across a wide range of industries, with a particular emphasis on closely held and family-owned enterprises and sponsor backed portfolio companies. He is recognized for combining deep technical fluency in Canadian income tax with pragmatic, transaction driven advice tailored to the needs of corporate acquirers, private equity funds, and other institutional capital providers.
In addition to his client work, Ryan contributes to the broader business and tax community through select board and advisory roles and as a frequent speaker on transaction tax and related planning matters.
