Competition law: the conducting of numerous competition law audits in various industries; the conducting of competition law control audits for various prominent companies in South Africa, usually followed by the implementation of competition law compliance mechanisms; the review and/or drafting of competition law compliance policies and advising on competition law control mechanisms as part of a competition law compliance programme; providing real time competition law advice and assistance to various clients in response to day-to-day competition law queries; advice on a number of joint venture transactions inter alia relating to SA merger notifiability, collusion risks, information sharing risks and restraints of trade; the submission of merger notifications and the obtaining of regulatory merger rulings from the SA Competition Authorities and the COMESA Competition Commission; competition law training and workshops. Corporate Law: corporate law advice and assistance in respect of group restructures and reorganisations, contract law reviews, company law and contract law opinions, legal due diligence investigations and reports and legal vendor due diligence investigations and reports, drafting of sale of business agreements, sale of shares agreements, shareholders agreements, company resolutions and share transfer documents; general commercial law advice and company law advice to multinational groups in respect of the South African legal consequences of foreign acquisitions, amalgamations or restructures.
