This course will delve into the practical aspects from a liquidator’s perspective and also cover Income Tax, VAT and Duty considerations. The session will specifically discuss the accounting requirements during the winding up process and will provide guidance on the preparation of the winding up accounts. A walk through model for winding up accounts will be presented with a focus on real case scenarios. A red flag analysis shall be presented outlining areas where one needs to be on the lookout when preparing a set of winding up accounts.

The session will provide an overview of the main tax implications of transferring and or acquiring immovable property with the main focus being immovable property situated in Malta. The session will touch upon the income tax on capital gains implications, the property transfer tax implications and also the duty on documents and transfers implications of immovable property transfers and acquisitions as well as provide brief background on applicable exemptions related thereto.

The session will delve deeper into the income tax and duty on documents and transfers considerations of transferring securities with particular focus on shares in a private limited liability company in Malta. The session will include background on applicable exemptions and the applicable criteria that need to be satisfied to apply same as well as touching upon the practical aspects of effecting a share transfer and the computation of the tax payable in relation to same. The session will not tackle transfers of shares in listed entities by investors as part of their trade.
