        Delivering an unbiased evaluation of synergies and their impact on the purchase price. We provide independent reviews, challenge existing assumptions and quantify potential cost and revenue opportunities, while assessing the risks, costs and timeline for realising these benefits.

        Developing Target Operating Models (TOMs) for Day 1 operations and their evolution beyond, driving seamless integration and scalability.

      Integration & Separation design and planning

      Developing a comprehensive plan for the treatment of employees, including support for change management and communications, employee experience design, and the management of HR functional objectives post-signing. Conceptual organisation design models are developed to assess current-state impacts and help shape the future-state organisation, ensuring alignment with the target operating model for a seamless transition.

      People and HR transition execution

      Implementation of people transformation initiatives, encompassing culture alignment, organisational design, and employment integration. Design and implementation of workforce strategies and change frameworks to support the continuous progression of the target-state organisation.

      Due Diligence

      We provide both Vendor Due Diligence and Buy-side Due Diligence services across technology (including cyber, digital, platform and AI). Vendor Due Diligence assists the vendor to clearly and effectively package information to help bidders assign value through clear articulation of opportunities and a strong value proposition.

      From the buy-side, we provide due diligence over the technology, cyber, AI and digital landscapes and operating models to report on key risks that may impact transaction value (e.g. end-of-life systems), understand potential carve-out or integration impacts, and identify technology transformation and upside opportunities to unlock additional value.

      Integration & Separation design and planning

      Design target state technology landscape and supporting operating model to enable future merged or separated business operations, and identify, assess and recommend technology integration or separation options and opportunities that impact strategic planning (Day 1, interim state and target state).

      For integration and separation planning, we assist you with key activities related to joint IT transition planning, develop data migration strategies, and assist in the preparation of technology one-off costs, synergies, stranded costs, baseline integration or separation costs and review or draft technology TSAs.

      Technology transition execution

      Management and execution of technology integration or separation plans, including data migration activities. Identification and development of additional technology opportunities to support the ongoing evolution of the target-state environment.
