Hoda is the NSW State Lead for Deals, Tax & Legal, and leads the governance practice for KPMG Law in Australia. She works closely with boards in the listed and unlisted for-profit environment, and not-for profit sectors on all matters related to directors duties, board and committee formation and conduct, stakeholder (shareholder, member, regulator) engagement and management.
As a securities law expert, Hoda specialises in mergers and acquisitions, corporate law, equity capital markets, corporate governance and board advisory.
In the unlisted environment, Hoda works closely with the growth ambitions of corporates through fundraising (equity, debt, hybrid), buy-side or sell-side transactions, group restructuring and resulting governance needs. She regularly advises corporates on their 'exit' strategy, whether through an IPO or other forms of exit. She has advised on numerous primary and secondary raisings, acting for both ASX-listed issuers and brokers, and for foreign and dual-listed clients on complex capital raisings, and ongoing corporate governance requirements.
Prior to KPMG, Hoda was a key member of the Australian Securities and Investments Commission Taskforces into the HIH and James Hardie Investigations, where she played a key role in the Commission’s investigations of breaches of directors’ duties.
